“This agreement is made and entered into on this 26-07-2023 between (vendor name) as a Distributor/Dealer/ Manufacturer and “Consumer Deal” as the Retailer.”

1. ONBOARDING AND PRODUCT SALES:
   • (vendor name) agrees to onboard on Consumer Deal’s official website as an authorized vendor of their products.
   • Consumer Deal shall be entitled to sell the Vendor’sproducts and retain their Margins as agreed upon.
   • Currently Consumer Deal is not charging any commission from their vendors.
2. PAYMENT TERMS:
   • Consumer Deal agrees to make payments to the vendors on a prepaid basis or after successful delivery to the customers or partial payment model as decided, at the mutually agreed-upon prices.
   • Underprepaid basis vendor will receive the payment before the delivery. After the successful deliveryof the goods vendor will get the payment within 7 working days. And in the partial model, vendor will get some part of the payment before the delivery and rest of the payment at the time of the delivery.
3. LISTINGS OF PRODUCTS:
   • Consumer Deal shall provide an access to the seller admin panel where vendor can list and update their inventory and manage the orders.
   • Currently Consumer Deal is helping vendors in listing and managing their inventory. However access will still be provided to keep an eye on your inventory. It’s upto the vendors if they wish to manage the panel on their own or rely on Consumer Deal for the same.
   • Vendor can find their Login Credentials at the end of the Agreement.
   • Legal disclaimer: All the pictures and content that we are uploading on the website are yours, so if there are any copyright issues in the future, they will be attributed to you as the seller.
4. PACKAGING AND DELIVERY:
   • The vendor shall be responsible for the proper packaging of the products to ensure their safety during transit.
   • Consumer Deal shall provide taping to put on the packaged product for branding purpose.
   • Consumer Deal shall arrange for their delivery personnel to pick up the packaged products from the vendors premises for delivery to the end customers.
5. DELIVERY TIME:
   • Consumer Deal’s policy mandates delivery within 1-7 working days from the date of order placement.
   • The vendor shall dispatch the products in a timely manner to align with Consumer Deal’s delivery policy.
6. STOCK AVAILABILITY:
   • The vendor agrees to keep Consumer Deal informed about the availability of stocks regularly.
   • In the case of unavailability of any product the vendor shall promptly notify Consumer Deal and provide an estimated time for restocking or indicate if the order needs to be cancelled.
7. PRODUCT EXCHANGE POLICY :
   • In the event of receiving wrong, defective, or missing products, Consumer Deal shall have right to request the vendor an exchange with a new, correct, and fully functional product.
   • The vendor shall promptly comply with the exchange requests made by Consumer Deal.
8. TERMINATIONOF AGREEMENT:
   • Either party may terminate this agreement with a written notice of 7 days to the other party.
   • The termination shall not affect the completion of any orders already placed by Consumer Deal and accepted by the vendor before the termination date.
9. CONFIDENTIALITY:
   • Both parties shall maintain the confidentiality of any proprietary information, trade secrets, or business-related data disclosed during the course of this agreement.
10. GOVERNING LAW AND JURISDICTION:
    • This agreement shall be governed by and interpreted in accordance with the laws of Delhi, India.
    • Any disputes arising out of or related to this agreement shall be subject to the exclusive jurisdiction of the courts in Delhi, India.
11. ENTIRE AGREEMENT:
    • This agreement constitutes the entire understanding between the parties concerning the subject matter herein and supersedes all prior and contemporaneous agreements, whether oral or written.
